What is a Shareholder Proxy?

(1) Document intended to provide shareholders with information necessary to vote in an informed manner on matters to be brought up at a stockholders' meeting. Includes information on closely held shares.

(2) A written authorization given by a shareholder to someone else to vote his/her shares, as specified in the proxy statement, at a stockholder's meeting called to elect directors or for some other corporate purpose.
