Private Placement Loan Definition

Usually associated with debt instruments where marketability is not required, but not always the case. The private placement of a loan with an institutional investor such as a pension fund or insurance company precludes the borrower from any SEC-registration requirements, eliminates problems connected with changing market interest rate and often a tailor-made maturity, that might be difficult for him to obtain in a public offering.
